Terms of Service — H and Co Serial Manager

1. Acceptance of Terms

By installing and using the "H and Co Serial Manager" application (“the App”), you agree to be bound by these Terms of Service (“Terms”) between you (“the Merchant”) and H & Co Agency Inc. (“we,” “us,” or “our”). If you do not agree to these Terms, you must uninstall the App immediately.

2. Subscription and Billing

The App uses Shopify’s native subscription billing system.

Free Trial: We offer a 14-day free trial. After the trial period ends, subscription fees will automatically apply unless the App is uninstalled prior to the trial expiration.

Fees: Subscription fees are charged directly through your Shopify invoice.

Refunds: All fees are non-refundable once billing begins, except where required by Shopify Partner rules. We do not offer pro-rated refunds for partial months or years.

Taxes: You are responsible for any applicable taxes associated with your use of the App.

3. Merchant Responsibilities

You agree to:

  • Maintain accurate product and serialized inventory data.
  • Comply with all local, national, and international laws regarding the sale of your products.
  • Ensure that your use of the App does not violate Shopify’s Acceptable Use Policy.

Security: You are responsible for maintaining the security of your Shopify account. We are not liable for any loss or damage from your failure to comply with this security obligation.

4. Prohibited Uses

You may not:

  • Use the App for any illegal or fraudulent activity.
  • Reverse engineer, decompile, modify, or attempt to extract the source code of the App.
  • Share access credentials or API keys with unauthorized parties.
  • Attempt to burden our infrastructure (Vercel/Supabase) with excessive or malicious API calls (DDoS).

5. Termination and Suspension

We reserve the right to suspend, restrict, or terminate your access to the App at any time, without notice, and without liability, if we reasonably believe you have violated these Terms.

Voluntary Termination: You may terminate your subscription at any time by uninstalling the App from your Shopify store. This stops future billing immediately.

No Refunds on Termination: Uninstallation does not generate a refund for fees already paid.

6. Intellectual Property

Your Data: You retain full ownership of your Shopify store data, product listings, and serialized inventory data.

Our IP: H & Co Agency Inc. retains exclusive ownership of the App’s source code, features, design, algorithms, and all intellectual property associated with the App. You are granted a limited, non-exclusive, revocable license to use the App solely for your business operations.

7. Data Privacy

Your use of the App is also governed by our Privacy Policy, which outlines how we collect, store, and process data. By using the App, you consent to the data practices described in the Privacy Policy.

8. Third-Party Services & Downtime

The App relies on third-party infrastructure to function, specifically:

  • Supabase (Database)
  • Vercel (Hosting)
  • Shopify (Platform & API)

We are not responsible for downtime, errors, data delays, or service interruptions caused by these third-party providers. While we strive for high availability, the App is subject to the reliability of these external services.

9. Limitation of Liability

The App is provided “as-is” and “as available” without warranty of any kind.

To the maximum extent permitted by law:

  • No Consequential Damages: We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost sales, inventory discrepancies, or business interruption.
  • Liability Cap: Our total aggregate liability for any claim arising out of these Terms shall be strictly limited to the total fees you have paid for the App in the three (3) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless H & Co Agency Inc. and its officers from any claims, damages, losses, or legal fees arising out of your use of the App, your violation of these Terms, or your violation of any third-party rights.

11. Modifications to Terms

We may modify these Terms at any time. We will update the “Last updated” date at the top of this page. Continued use of the App after changes constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of Ontario, Canada. Any disputes arising out of or relating to the App shall be resolved exclusively in the provincial or federal courts located in Ontario, Canada.

13. Severability & Entire Agreement

If any provision in these Terms is found to be unenforceable, that provision will be limited to the minimum extent necessary, and remaining provisions will remain in full force. These Terms constitute the entire agreement between you and H & Co Agency Inc. regarding the App.
